Illiquidity

The fund is closed-ended with a multi-year horizon. Investors should not allocate capital they may need on short notice. Redemption windows, if any, are governed by the IM and subject to manager discretion.

Currency risk

The fund is denominated in EUR. USD-based investors are exposed to EUR/USD exchange-rate fluctuations, which can materially affect realised returns.

Concentration & sector risk

Renewable energy and climate infrastructure assets are exposed to commodity prices, weather, technology obsolescence, tariff regimes, and concentrated Iberian regulatory frameworks.

Regulatory & Golden Visa policy risk

Portuguese ARI (Golden Visa) eligibility is set by Portuguese law and can be modified or revoked. Citizenship grant after year 5 is contingent on residency, clean record, and language proficiency criteria that may change.

Tax treatment (US investors)

PFIC, FBAR, GILTI and similar reporting may apply. The fund and its agents do NOT provide US tax advice. Investors must engage their own CPA or tax counsel before subscribing.

SDIRA / 401(k) eligibility

Compatibility with self-directed IRAs and 401(k) rollovers depends on each custodian's underwriting and the investor's account type. Prohibited transactions can trigger immediate IRA distribution and tax events.
